Corporate Binder
 


The key to a bullet proof corporation lies heavily on the company's ability to keep its activities and records accurate and up to date. It is imperative that all of the company's documents are organized, in a safe place, and easily accessible when needed. The best vehicle for accomplishing this is the utilization of a Corporate Binder.

A Corporate Binder is a custom made organizer with the company's name affixed to it. When the binder is opened it reveals a pouch with a metal embosser seal in it. This is the custom made seal, specifically designed to brand important documents with your company's signature of approval. It is used by placing the document to be embossed between the corporate seal plate and the attached metal backing, producing a raised symbol of the company's name and corporate structure.

Within this binder are tabs separating out various types of required corporate documents. For example, the tab marked "Minutes" would be for the placement of all minutes that have been recorded from company meetings throughout the year. It is very important that at least one set of minutes are filed each year that address, management of the entity and the financial affairs of the entity. The tab "By-Laws" or “Operating Agreement,” would be for the placement of the company by-laws or operating agreement that were generated by the Board or owner/members. The binder should also hold all legal and corporate documents received by the State or city offices stating approval and legitimacy of the company. It is important to keep all correspondence from the State, city and IRS, including, but not limited to, permits, licenses and certificates of good standing and annual filing fees.

Included in the binder there are pre-printed Stock Certificates that have your company name already printed on them. Take one of those Stock Certificates, and issue one to each shareholder/member with however many shares or percentage that shareholder/member is to have. Have the President and Secretary or the Manager of the corporation/LLC sign the Certificate and then seal each stock certificate on the bottom middle portion of the document.
